- Modification of Marks. If at any time the Company decides to modify or discontinue use of any Marks, and/or use one or more additional or substitute trademarks or service marks, you agree to comply within reasonable time after notice has been provided by the Company. If such an event occurs, the Company will have no liability or obligation other than to reimburse Franchisee for the out-of-pocket costs of complying.

What This Means (2025 FDD)
According to Best Brains' 2025 Franchise Disclosure Document, if Best Brains decides to modify or discontinue the use of any of its Marks, franchisees must comply within a reasonable time after receiving notice from the company. In such instances, Best Brains will only reimburse the franchisee for the out-of-pocket costs of complying with these changes.
This means that Best Brains franchisees are responsible for adapting their business to any changes in the brand's Marks. While Best Brains covers the direct, provable expenses incurred during this transition, franchisees should be aware that this reimbursement does not extend to covering potential lost revenue, time spent on implementing the changes, or any indirect costs.
Prospective franchisees should consider the potential financial impact of rebranding or changes to the Marks during the term of their franchise agreement. It would be prudent to discuss with Best Brains what historical brand changes have occurred, the typical costs franchisees have incurred, and what support beyond direct reimbursement Best Brains might offer to ensure a smooth transition.
