What This Means (2025 FDD)

According to Best Brains' 2025 Franchise Disclosure Document, a franchisee has the right to assign their interest in the lease to Best Brains or its affiliate without the landlord's approval. This is subject to a specific condition outlined in the Lease Rider, emphasizing that the premises can only be used for operating a Best Brains business. This provision aims to streamline the process for Best Brains to take over a lease if needed, ensuring business continuity and control over the location.

Specifically, the franchisee can transfer the lease to Best Brains, its affiliate, or a company with which Best Brains may merge or consolidate. This transfer can occur without needing the landlord's consent, without increasing rent (unless already specified in the lease), without materially changing other lease terms, and without requiring additional guarantees for the assigned lease obligations. This clause provides Best Brains with a significant advantage, allowing them to maintain control over strategic locations and facilitate smooth transitions in cases of franchisee turnover or business restructuring.

This clause is particularly beneficial for Best Brains as it allows them to quickly and efficiently assume control of a location if a franchisee defaults, terminates the agreement, or chooses not to renew. By removing the need for landlord approval, Best Brains avoids potential delays or complications that could arise from negotiations with the landlord. This ensures that Best Brains can continue operating a learning center at that location, either directly or through another franchisee, without significant interruption. The landlord, by agreeing to this clause, acknowledges and accepts Best Brains' right to step in and take over the lease under the specified conditions.
