What This Means (2025 FDD)
According to Best Brains' 2025 Franchise Disclosure Document, if a conflict of laws arises for a franchise operating in Washington, the provisions of the Washington Franchise Investment Protection Act, chapter 19.100 RCW, will take precedence. This is outlined in the Washington Addendum to the Franchise Agreement, which is an integral part of the franchise agreement for franchisees in Washington.
This means that any clause within the franchise agreement that contradicts the Washington Franchise Investment Protection Act will be superseded by the state law. This protection ensures that franchisees operating in Washington are afforded the rights and protections guaranteed by Washington law, regardless of what the standard Best Brains franchise agreement might state.
For a prospective Best Brains franchisee in Washington, this addendum offers significant legal protection. It ensures that the franchisee's rights are safeguarded by the state's franchise laws, especially concerning aspects like termination, renewal, and dispute resolution. Franchisees should carefully review both the standard franchise agreement and the Washington Addendum to fully understand their rights and obligations under both documents.
