- B. Renewal. You may, at your option, renew your franchise rights for another term equal to five (5) years subject to the following conditions which must be met prior to each renewal:

- You shall have delivered to us written notice of your desire to exercise your option to renew at least six (6) months, but no more than twelve (12) months prior to the expiration of the term of this Agreement;

- You shall have during the entire term of this Agreement substantially complied with all of its provisions and the provisions of any other agreement between you and us or our affiliates;

- We and you (and your owners, if Franchisee is an entity) shall execute the form of franchise agreement and such ancillary agreements as are then customarily used by us in the grant of franchises;

- You shall refurbish and remodel the premises of the Franchise Business and replace the equipment of the Franchised Business to be in compliance with the then current standards and specifications utilized in the granting of franchises; and
-
- You (and your owners if Franchisee is an entity) shall execute Releases, in a form satisfactory to us, of any and all claims against the us and our affiliates, and their officers, directors, managers, shareholders, members, employees and agents.
The franchise agreement and ancillary agreements at the time of renewal may contain materially different terms from those contained in this Agreement. Failure by you (and your owners, if Franchisee is an entity) to sign such agreement(s) and releases within thirty (30) days after delivery thereof shall be deemed an election not to renew.
You shall pay to us a renewal fee as specified in Section 2.G. above.

What This Means (2025 FDD)
According to Best Brains's 2025 Franchise Disclosure Document, to renew a franchise for an additional five-year term, a franchisee must meet several conditions. First, the franchisee must provide written notice of their intent to renew the franchise at least six, but no more than twelve, months before the current agreement expires. Second, throughout the entire term of the existing agreement, the franchisee must have substantially complied with all its provisions, as well as the provisions of any other agreements with Best Brains or its affiliates.
Third, both Best Brains and the franchisee (including the franchisee's owners, if the franchisee is an entity) must execute the current form of franchise agreement and any ancillary agreements that Best Brains typically uses when granting franchises at that time. It is important to note that these agreements may contain terms that are materially different from the original franchise agreement. Fourth, the franchisee must refurbish and remodel the franchise location to comply with Best Brains' then-current standards and specifications for new franchises, including replacing equipment as necessary.
Fifth, the franchisee (and their owners, if applicable) must execute releases, in a form satisfactory to Best Brains, of any and all claims against Best Brains, its affiliates, and their respective officers, directors, managers, shareholders, members, employees, and agents. Failure to sign the new franchise agreement, ancillary agreements, and releases within thirty days of delivery will be deemed an election not to renew the franchise. Finally, the franchisee must pay the renewal fee as specified in the franchise agreement.
