What This Means (2025 FDD)
According to Bens Soft Pretzels' 2025 Franchise Disclosure Document, the franchisee's use of the trademarks benefits the franchisor. The FDD states that the trademarks are the franchisor's valuable property, and they license the use of the trademarks to franchisees. The agreement specifies that the franchisee's right to use the trademarks is conditional.
The document emphasizes that all goodwill associated with the trademarks, as well as the business conducted at the store, accrues to the benefit of Bens Soft Pretzels. This means that as the franchisee uses the trademarks and builds a successful business, the value and reputation of the Bens Soft Pretzels brand increases, ultimately benefiting the franchisor.
This arrangement is typical in franchising, where the franchisor owns the brand and trademarks, and franchisees pay for the right to use them. The success of individual franchisees contributes to the overall strength and recognition of the brand, creating a mutually beneficial relationship where the franchisor's brand equity grows with each successful franchise location.
