What This Means (2025 FDD)

According to Bens Soft Pretzels's 2025 Franchise Disclosure Document, the Trademarks and the System are closely tied to the quality standards of the stores. Bens Soft Pretzels owns the trademarks and licenses their use to franchisees. However, this right is conditional. Franchisees must adhere to the franchisor's standards and requirements regarding the quality, storage, production, preparation, sale, portioning, and packaging of approved products and services. This ensures uniformity and protects the goodwill associated with the trademarks. The Trademarks include the registered BEN'S SOFT PRETZELS Trademark, service marks, trade names, trade dress, and commercial symbols used in the store.

The 'System' encompasses various elements, including food selection and presentation, recipes, methods, equipment, interior and exterior design, color schemes, products, services, operational methods, marketing, management programs, standards, specifications, and proprietary information. Bens Soft Pretzels retains the right to modify the System at any time. Franchisees must maintain the quality standards to protect the Trademarks and the System's integrity. This includes leasing sites that meet the franchisor's guidelines and operating the store solely for the intended purpose.

Bens Soft Pretzels can establish and modify quality standards for store operations to maintain uniformity and goodwill associated with the Trademarks and the System. Franchisees must adhere to these standards. Franchisees must use the name BEN'S SOFT PRETZELS as the store's trade name and can only use approved trademarks in connection with specified products and services that meet the franchisor's standards. This ensures consistent branding and quality across all franchise locations.

Franchisees cannot make unauthorized changes to the trademarks and must use them only in association with approved products and services that meet Bens Soft Pretzels's quality standards. Bens Soft Pretzels reserves the right to change or modify the trademarks, and franchisees must comply with these changes, potentially incurring expenses to update signage and materials. All ideas and materials related to the store are the franchisor's property and part of the System, reinforcing the franchisor's control over the brand and its quality standards.
