- C. Notices. Except as otherwise provided in this Agreement, any notice, demand or communication provided for herein must be in writing and signed by the party serving the same and either delivered personally or by a reputable overnight service or deposited in the United States mail, service or postage prepaid, and if such notice is a notice of default or termination, by registered or certified mail, and addressed as follows:

- If intended for you, addressed to you at the address set forth on the Data Sheet or at the Store; or,
in either case, to such other address as may have been designated by written notice to the other party. Notices for purposes of this Agreement will be deemed to have been received if mailed or delivered as provided in this subparagraph.
D. Authority. Any modification, consent, approval, authorization or waiver granted hereunder required to be effective by signature will be valid only if in writing executed by you or, if on behalf of us, in writing executed by our President or one of our authorized Vice Presidents.
- E. References. If the franchisee is 2 or more individuals, the individuals are jointly and severally liable, and references to you in this Agreement includes all of the individuals.

What This Means (2025 FDD)
According to Ben's Soft Pretzels' 2025 Franchise Disclosure Document, any notice of termination must be in writing and signed by the party serving the notice. The notice must be delivered personally, sent by a reputable overnight service, or sent through the United States mail with service or postage prepaid. If the notice is regarding default or termination, it must be sent by registered or certified mail.
The FDD specifies the addresses to which notices should be sent. If the notice is for Ben's Soft Pretzels, it should be sent to their headquarters in Goshen, Indiana. If the notice is for the franchisee, it should be sent to the address listed on the Data Sheet or to the store address, unless another address has been designated in writing by the franchisee.
Ben's Soft Pretzels will provide a franchisee 60 days written notice of termination for any reason. However, in Minnesota, Ben's Soft Pretzels will comply with Minnesota Statute § 80C.14, subdivisions 3, 4, and 5 which requires, except in certain specified cases, that you be given 90 days notice of termination (with 60 days to cure) and 180 days notice for non-renewal of the Franchise Agreement. Notices are considered received when mailed or delivered as described in the FDD.
