What This Means (2025 FDD)

According to the 2025 Bens Soft Pretzels Franchise Disclosure Document, the California addendum is added to the Franchise Agreement. Specifically, the document is referred to as the "ADDENDUM TO FRANCHISE AGREEMENT FOR THE STATE OF CALIFORNIA." This addendum serves to ensure compliance with California's specific statutes and regulations concerning franchises.

For prospective franchisees in California, this means that the standard Franchise Agreement is modified by the California Addendum to align with state law. The addendum explicitly states that its purpose is to comply with California statutes and regulations, overriding any conflicting terms in the main agreement.

Item 2 of the addendum highlights a critical protection for franchisees, ensuring that no statement or acknowledgment signed by the franchisee can waive rights under California franchise law or disclaim reliance on franchisor statements. This provision reinforces franchisee rights and prevents potential overreach by the franchisor. The addendum also specifies that the Franchise Agreement will be construed and enforced according to its terms in all other respects.
