What This Means (2025 FDD)
According to the 2025 Bens Soft Pretzels Franchise Disclosure Document, franchisees are prohibited from taking any actions that could harm or challenge Bens Soft Pretzels' rights to their trademarks. The franchise agreement explicitly states that franchisees cannot engage in any conduct, directly or indirectly, that would infringe upon, harm, or contest Bens Soft Pretzels' rights in any of the Trademarks or the goodwill associated with the Trademarks. This includes any use of the Trademarks in a derogatory, negative, or other inappropriate manner in any media, including print or electronic media. Franchisees acknowledge that the trademarks are the property of Bens Soft Pretzels, and their right to use them is based on the license granted in the franchise agreement.
This provision protects Bens Soft Pretzels' brand identity and intellectual property. It ensures that franchisees do not take actions that could weaken the brand or create confusion in the marketplace. It also prevents franchisees from claiming ownership or rights to the trademarks, which could undermine Bens Soft Pretzels' ability to control and protect its brand.
For a prospective franchisee, this means they must be very careful about how they use the Bens Soft Pretzels trademarks and must not do anything that could be interpreted as an attempt to challenge the franchisor's ownership or rights. This includes advertising, marketing, and even online activities. Franchisees must adhere to the guidelines and standards set by Bens Soft Pretzels for using the trademarks to avoid violating the franchise agreement.
This type of clause is standard in most franchise agreements, as franchisors need to protect their brand and trademarks. Franchisees should be aware of these restrictions and ensure they fully understand their obligations regarding trademark use. Failure to comply with these provisions could result in legal action or termination of the franchise agreement.
