What This Means (2025 FDD)
Based on the 2025 Bens Soft Pretzels Franchise Disclosure Document, it is not possible to determine whether the advertising fund is held in a trust or escrow account. While the FDD excerpts discuss advertising cooperatives and the requirement for franchisees to contribute to these cooperatives if established, it does not specify the legal structure or holding mechanism for these funds. The document mentions that advertising cooperatives must adopt governing bylaws that meet Bens Soft Pretzels' approval and prepare annual financial statements available to members and Bens Soft Pretzels upon request. However, this does not clarify whether the funds are managed as a trust or escrow.
A prospective franchisee should directly ask Bens Soft Pretzels about the specific legal structure of the advertising fund and how the funds are protected and managed. Understanding whether the advertising funds are held in a trust or escrow account is crucial for assessing the security and transparency of these funds. Trust or escrow accounts typically provide greater legal protection and oversight compared to standard corporate accounts.
Specifically, a franchisee should inquire about who controls the funds, what safeguards are in place to prevent misuse, and what recourse franchisees have if they believe the funds are being mismanaged. This information will help a franchisee make an informed decision about investing in a Bens Soft Pretzels franchise and participating in its advertising programs.
