BEN & JERRY'S and its affiliates, as the result of the expenditure of time, skill, effort, and money, have developed a distinctive system (the "System") relating to the establishment and operation of retail frozen dessert businesses, which operate at retail shops that display BEN & JERRY's interior and exterior trade dress ("Ben & Jerry's Shops"), and that are primarily engaged in the sale at the Ben & Jerry's Shop of Ben & Jerry's products including ice cream, ice milk, sorbet, frozen yogurt, frozen desserts, toppings, confections, novelties, fountain ingredients, and other food and beverages items, as well as proprietary gift products (the "Ben & Jerry's Products") and a limited selection of complementary and compatible products, including non-proprietary gift products, approved by BEN & JERRY'S (the "Non-Proprietary Products"), and which operate under the Proprietary Marks (as defined below).
