What This Means (2025 FDD)
According to Ben Jerrys's 2025 Franchise Disclosure Document, Ben Jerrys retains the right to operate shops at various locations, including Institutional Facilities. These facilities are defined as special or limited purpose, limited access, or captive audience locations.
Examples of Institutional Facilities where Ben Jerrys may operate include airports, public transportation facilities, parks, stadiums, business and industrial and military complexes, educational facilities, and hospitals. Other examples are theaters, museums, art centers, and amusement centers. These locations are not subject to the franchisee's territory or development area, meaning Ben Jerrys can establish shops in these locations regardless of their proximity to a franchisee's existing shop.
This reservation of rights allows Ben Jerrys to tap into diverse markets and reach customers in unique settings. For a potential franchisee, this means that while they may have a designated territory, Ben Jerrys can still operate or license shops in these Institutional Facilities within or outside that territory. This is a standard practice in franchising, allowing franchisors to pursue opportunities in specialized venues that may not be suitable for traditional franchise locations.
