What This Means (2025 FDD)
According to Belocal's 2025 Franchise Disclosure Document, the franchisee and their principals acknowledge that their representations, warranties, and covenants are continuing obligations. This means that the commitments made by the franchisee at the time of signing the agreement are not one-time promises but ongoing responsibilities throughout the term of the franchise agreement.
The franchisee also agrees to cooperate with Belocal to verify their ongoing compliance, as well as the compliance of their principals, with these representations, warranties, and covenants. This implies that Belocal has the right to monitor and assess whether the franchisee is meeting their obligations under the agreement. Failure to comply with these obligations constitutes a material event of default, which could lead to termination of the franchise agreement.
This acknowledgment highlights the importance of understanding and adhering to all aspects of the franchise agreement. Prospective Belocal franchisees should carefully review all representations, warranties, and covenants to ensure they can meet these continuing obligations. Failure to do so could have significant consequences, including the loss of their franchise.
