We sell franchises for businesses that sell print advertising to businesses that wish to advertise in one or more print magazines, newsletters, and/or directories designed for individuals who are newcomers to a particular area ("publications"); sell digital advertising services; organize local events; facilitate the publishing of these publications; and that develop relationships with advertisers in, and recipients of, such publications ("Franchised Business"), all under the trademark "BELOCAL® " and other trade names, service marks, trademarks, logos, and commercial symbols we authorize ("Marks"). We refer to the people who operate these businesses interchangeably as Franchisees or Area Directors. The Franchised Businesses operated under the BELOCAL® Mark are also referred to herein as BL Businesses.
Under a separate disclosure document, we offer franchises for businesses that sell print advertising to businesses that wish to advertise in one or more magazines, newsletters, and/or directories for companies, individuals, and/or organizations interested in or connected to the real estate industry ("RP Publications"); sell digital advertising services; solicit and compile content for the publications; and organize events for real estate professionals using our business system and the publication name REAL PRODUCERS® ("RP Business"). As of June 30, 2025, 152 RP Publications franchises were in operation.
From time to time, we may test other publications to determine, among other things, the viability and financial parameters of the publication. If you request to operate a business associated with a test publication that is not a BL Business publication ("Test Publication"), and we agree, then you and we will enter into the Franchise Agreement and the Test Publication Amendment, which is Attachment H to the Franchise Agreement. All information relating to the BL Business in this disclosure document applies to the Test Publications, except that (1) unless otherwise indicated in a state addendum to the franchise agreement, Test Publications may be discontinued at any time we determine without any penalty to us and without any compensation to you, and (2) Test Publication Commissions are not included in the Item 19 financial performance representations. A franchise owner who operates a BL Business may be qualified to operate a second business and facilitate the publishing for a Test Publication business but is not required to do so. We do not require the owner of Test Publication business to also operate a BL Business. BL Businesses and Test Publication businesses are each a "Franchised Business" as that term is used in this disclosure document. From November 2017 until October 2024, franchisees who facilitated publication for Test Publications did so under the REAL PRODUCERS® franchise disclosure document. Now franchisees who facilitate publication for Test Publications do so under the BeLocal® franchise disclosure document. As of
June 30, 2025, 13 Test Publications were in operation. The Test Publication franchises have been offered since November 20, 2017.
Under a separate disclosure document, we offer franchises for businesses that sell print advertising to businesses that wish to advertise in one or more magazines, newsletters, and/or directories for neighborhoods, residential communities, homeowners' associations, and other similar groups ("Neighborhood Publications"); sell digital advertising services; solicit and compile content for the publications; and organize local events using our business system and various publication names. The Neighborhood Publications franchises have been offered since December 2, 2016.

According to Belocal's 2025 Franchise Disclosure Document, 'BL Businesses' is a term used interchangeably with 'Franchised Businesses' to refer to businesses operated under the BELOCAL® mark. These businesses involve selling print advertising for BELOCAL® publications, selling digital advertising services, organizing local events, and developing relationships with advertisers and recipients of the publications. Essentially, a BL Business represents the core Belocal franchise offering.
Understanding the definition of BL Businesses is crucial because the Franchise Disclosure Document uses this term to describe various aspects of the franchise opportunity. For example, the document clarifies that information relating to BL Businesses also applies to 'Test Publications' (experimental publications) with some exceptions, such as the potential discontinuation of Test Publications without penalty or compensation and the exclusion of Test Publication commissions from Item 19 financial performance representations. A Belocal franchisee may have the opportunity to operate a Test Publication, but is not required to do so.
Furthermore, the FDD mentions that Belocal may offer a $10,000 referral fee to existing franchisees who successfully introduce a new franchisee, but this fee is only applicable if the new franchisee's business manages a new publication or acquires the rights to manage a 'Bridge Publication,' and not for transfers of existing Franchised Businesses (BL Businesses).
