What This Means (2025 FDD)

According to Belocal's 2025 Franchise Disclosure Document, Belocal retains significant rights regarding the development and operation of other business systems, even those that might compete with a franchisee's Belocal business. Specifically, Belocal, its affiliates, and any authorized entities have the right to develop and establish other business systems, including those that offer similar products or services, using the Belocal marks or other names and marks. They can grant licenses for these systems at any location without providing any rights or compensation to the franchisee. This means Belocal could potentially introduce competing businesses under the same or different brands, without offering the franchisee any protection or benefit.

This broad reservation of rights extends to advertising and promotion as well. Belocal and its affiliates can advertise and promote any of their businesses, including other franchised businesses, anywhere, regardless of whether it impacts a franchisee's territory. They can also operate or license others to operate any business, including publishing businesses, anywhere, even within or adjacent to a franchisee's territory. Furthermore, Belocal can engage in the production, distribution, and sale of various products and services, including magazines, newsletters, and advertising, under the Belocal marks or other names, without compensating the franchisee, even within the franchisee's territory.

Belocal's ability to operate competing businesses or authorize others to do so could significantly impact a franchisee's potential market share and revenue. The FDD explicitly states that if Belocal solicits or accepts orders from within a franchisee's territory, they are under no obligation to compensate the franchisee. This lack of territorial exclusivity and the potential for direct competition from Belocal or its other franchisees is a critical factor for prospective franchisees to consider.

The existence of Hyport Digital, an affiliate of Belocal, further illustrates this point. Hyport Digital offers digital marketing services and faces no limitations on where it can solicit and sell its goods and services, including within a Belocal franchisee's territory. While franchisees have the opportunity to solicit leads for Hyport Digital and receive commissions, this program can be modified or discontinued at Belocal's discretion. This highlights the importance of understanding the potential competitive landscape and the limited control a franchisee has over Belocal's broader business activities.
