What This Means (2025 FDD)
According to Belocal's 2025 Franchise Disclosure Document, the rights granted to a franchisee are nonexclusive. This means that Belocal retains the right to operate or license others to operate similar businesses, even within the franchisee's territory.
Specifically, Belocal, its affiliates, and any authorized entities have the right to establish other business systems, including those that offer similar products or services, using Belocal's trademarks or other marks. They can grant licenses to others without providing any rights to the franchisee. Belocal also retains the right to advertise and promote any N2 publications, N2 Co. businesses, and the businesses of its franchisees anywhere. This includes the right to operate or license others to operate any franchised Belocal business or any business of Belocal's affiliates anywhere, even inside, adjacent to, or surrounded by the franchisee's territory.
Furthermore, Belocal can engage directly or indirectly in the production, distribution, licensing, and sale of all forms of magazines, newsletters, advertising, marketing, graphic and web design, or other services and products under the Belocal marks or other names or marks at any location, including within the franchisee's territory. This can be done through any method of distribution, including mail order catalogs and the Internet, regardless of the proximity to the franchised business or the competitive impact on it. Belocal also has the discretion to change the franchisee's territory, including its size, shape, boundaries, and population, with ninety days' notice.
For a prospective Belocal franchisee, this non-exclusive arrangement carries significant implications. It means that Belocal could authorize competing businesses within the franchisee's territory, potentially impacting the franchisee's market share and revenue. The franchisee's territory is also subject to change at Belocal's discretion, which could further affect the franchisee's business. Therefore, it is crucial for potential franchisees to carefully consider the competitive landscape and the potential for Belocal to establish competing businesses or alter the territory before investing in a Belocal franchise.
