Does Belocal reserve the right to make commission payments based on estimates of payments it will receive in connection with Advertising Contracts?

Belocal Franchise · 2025 FDD

Answer from 2025 FDD Document

Franchisor reserves the right to make Commission payments based upon estimates of payments it or its affiliate will receive in connection with Advertising Contracts (defined below), and it and its affiliate reserve the right to refund, for any reason, payments made by advertisers. Commission payments shall be accompanied by a Commissions accounting and reconciliation report. If the Commissions report reflects that Franchisee has been paid a Commission in an amount that is more than Franchisee is due, then Franchisee must return to Franchisor the amount of overpayment ("Returnable Commissions").

What This Means (2025 FDD)

According to Belocal's 2025 Franchise Disclosure Document, Belocal reserves the right to make commission payments to franchisees based on estimated payments it anticipates receiving from advertisers under Advertising Contracts. This means that Belocal may pay commissions to franchisees before actually receiving the full payment from the advertiser.

However, Belocal also retains the right to refund payments made by advertisers for any reason. If Belocal overestimates the commission due to a franchisee and pays out more than ultimately earned, the franchisee is obligated to return the overpayment, termed "Returnable Commissions," to Belocal. Belocal can deduct these Returnable Commissions from future commission payments.

This policy has implications for Belocal franchisees, as their income may be subject to adjustments based on advertiser payments. Franchisees need to be aware that initial commission payments are subject to change and that they may be required to return portions of previously paid commissions if advertiser payments are refunded or adjusted. This could affect the franchisee's cash flow and financial planning.
