What This Means (2025 FDD)
According to Belocal's 2025 Franchise Disclosure Document, other persons or entities, including Belocal itself, its affiliates, and other franchisees, may sell advertising for the Belocal Publication. This means that a franchisee's ability to secure advertising revenue within their territory could be impacted by the sales efforts of these other parties.
Belocal also retains the right to place national, regional, or local advertisements, known as Corporate Ads, in the Publication without the franchisee's involvement. The size and format of these ads are determined at Belocal's discretion and expense. While Belocal may choose to pay the franchisee a commission for these Corporate Ads, it is not obligated to do so, and the commission structure may differ from the standard commission calculation.
Furthermore, the franchisee acknowledges that their rights to operate and distribute the Publication are non-exclusive, and they are not granted any territorial rights or protection. Belocal can modify the franchisee's territory with ninety days' notice. This lack of exclusivity and the potential for territory changes add a layer of risk for the franchisee, as their market area and revenue potential could be affected by Belocal's decisions and the activities of other franchisees or entities selling advertising within or near their territory.
