Is Belocal obligated to provide franchisees with updates and improvements to the Belocal System?

According to Belocal's 2025 Franchise Disclosure Document, Belocal is not required to provide franchisees with updates and improvements to the Belocal System. However, Belocal may choose to make available any updates and improvements to the System, such as changes to the products and services a franchisee may sell or recommendations for operating efficiency, as they make them available to franchisees generally. This is an optional service that Belocal may provide at its discretion.

Belocal also outlines that neither they, their affiliates, nor any third parties are required to provide ongoing maintenance, repairs, upgrades, or updates to the franchisee's technology. There are currently no optional or required maintenance/upgrade contracts for the technology. Despite the franchisee being required to buy, use, and maintain the technology according to Belocal's standards and specifications, the franchisee will have sole and complete responsibility for the acquisition, operation, maintenance, and upgrading of the technology; the manner in which their technology interfaces with Belocal's and any third party's technology; and any and all consequences if the technology is not properly operated, maintained, and upgraded.

This discretionary approach to system updates and improvements means that Belocal franchisees need to be prepared to adapt to changes in the market and industry on their own initiative if Belocal does not provide updates.
