We treat all Copyrighted Materials as trade secrets, and you must treat all Copyrighted Materials we communicate to you confidentially. Other confidential information includes, without limitation, research, plans, products, services, customer lists, supplier information, advertisers, business plans, marketing data and materials, software, electronic code, forms, processes, methods of operation, strategic information, financial information, manuals, and other business information. You and your Principals must agree not to distribute or use our confidential information for the benefit of anyone else during and after the term of the Franchise Agreement. You and your Principals must also agree to immediately cease using any of our confidential information upon termination, expiration, or transfer of the Franchise Agreement. You and your Principals can give this confidential information only to your employees, contractors, and representatives who need it to operate your Franchised Business.

If you, your staff, or your Principals develop any new concept, process, or improvement in the operation or promotion of your Franchised Business, you must promptly notify us and give us all necessary information about such new process or improvement, without compensation. You, your staff, and your Principals agree that any of these concepts, processes, or improvements will become our property, and we may use or disclose them to other franchisees, as we determine appropriate.

What This Means (2025 FDD)

According to Belocal's 2025 Franchise Disclosure Document, in addition to Copyrighted Materials, Belocal considers a wide array of information confidential. This includes, but is not limited to, research, plans, products, services, customer lists, supplier information, advertisers, business plans, marketing data and materials, software, electronic code, forms, processes, methods of operation, strategic information, financial information, and manuals. This broad definition of confidential information is typical in franchise agreements, as franchisors need to protect their proprietary systems and business methods.

Belocal requires that franchisees and their principals maintain the confidentiality of this information both during and after the term of the Franchise Agreement. This means franchisees cannot distribute or use Belocal's confidential information for the benefit of anyone else. Upon termination, expiration, or transfer of the Franchise Agreement, franchisees must immediately stop using all of Belocal's confidential information. This is a standard clause to prevent franchisees from using the franchisor's trade secrets to compete against the system after leaving.

Franchisees are permitted to share confidential information only with their employees, contractors, and representatives who need the information to operate the Franchised Business. This allows franchisees to run their business effectively while still protecting Belocal's proprietary information. This highlights the importance of carefully managing access to sensitive information within the franchisee's organization to prevent unauthorized disclosure.

Furthermore, if a franchisee or their staff develops any new concept, process, or improvement related to the Franchised Business, they must promptly notify Belocal and provide all necessary information without compensation. These concepts, processes, or improvements become Belocal's property, and Belocal may use or disclose them to other franchisees as deemed appropriate. This clause ensures that any innovations within the franchise system benefit the entire network, but it also means franchisees will not receive direct compensation for their contributions.
