The franchise agreement attached as Exhibit B to this disclosure document ("Franchise Agreement") will grant you the right to operate a Franchised Business in which you will sell print advertising for, and facilitate the publishing and distribution of, a BELOCAL® publication (the "Publication") to be distributed within a
non-exclusive, geographic area ("Territory"); sell digital advertising services; solicit and compile content for the Publication; and organize local events, all while using our System (as defined herein) and Marks.

What This Means (2025 FDD)
According to Belocal's 2025 Franchise Disclosure Document, the territory granted to a franchisee is not exclusive. The Franchise Agreement grants the right to operate a franchised business and sell print advertising for a BELOCAL publication within a non-exclusive geographic area referred to as the "Territory." This means that Belocal retains the right to operate, or allow others to operate, similar businesses within the same territory as a franchisee.
This lack of exclusivity has important implications for prospective franchisees. It means that Belocal could potentially grant additional franchises or operate its own competing businesses within the same territory, which could impact a franchisee's market share and revenue potential. A Belocal franchisee should be aware that they will not have sole rights to the territory and may face competition from other Belocal businesses.
Furthermore, Belocal, its affiliates, or other franchisees may solicit or establish national or regional accounts with advertisers, referred to as "Strategic Partners," even if those partners are located within a franchisee's territory. Franchisees have no right to solicit or sell advertising to these Strategic Partners unless Belocal establishes a policy allowing them to do so, which it may change at any time. Belocal also reserves the right to designate any advertiser as a Strategic Partner, even those to whom a franchisee has already sold advertising. This further limits a franchisee's control over their territory and potential client base.
In addition, Belocal or its affiliate may place national, regional, or local advertisements, known as "Corporate Ads," into the publication at their discretion. While franchisees will be compensated for these ads according to Belocal's current commission policy, the placement of these ads is controlled by Belocal, not the franchisee. Therefore, a prospective franchisee should carefully consider the non-exclusive nature of the territory and the potential for competition and limitations on their ability to solicit certain advertisers before investing in a Belocal franchise.
