- C. Franchisee shall use the Marks in the precise form that Franchisor prescribes and shall observe Franchisor's directions regarding the presentation, display, and use of the Marks and the use, copying, and distribution of the Copyrighted Materials. Franchisee shall not fail to perform any act required under this Agreement, or commit any act which would impair the value of the Marks or the goodwill

What This Means (2025 FDD)
According to Belocal's 2025 Franchise Disclosure Document, a franchisee must use the Marks in the precise form that Belocal prescribes. The franchisee must also adhere to Belocal's specific directions regarding the presentation, display, and use of the Marks, as well as the use, copying, and distribution of copyrighted materials. Furthermore, the franchisee must not take any action that could diminish the value of the Marks or the associated goodwill.
Belocal retains the right to modify its Marks and copyrighted materials, and franchisees are obligated to promptly comply with any additions, changes, revisions, discontinuations, or substitutions. The franchisee bears all expenses associated with these changes. Additionally, franchisees must notify Belocal immediately of any apparent infringement or challenges to the use of any Mark or copyrighted material.
Franchisees are prohibited from establishing or operating an online presence that concerns Belocal, the Marks, or the franchised business without Belocal's consent. If consent is granted, the franchisee must comply with Belocal's policies. Belocal can revoke this approval at its sole discretion. Franchisees must also ensure that neither they nor their staff post any derogatory, offensive, or infringing content online relating to Belocal, its affiliates, or the Marks. Belocal retains ownership of all copyrights to material on any online presence, although it is not obligated to monitor the content.
