Specifically, the FDD states that 'Confidential Information' encompasses information and know-how related to Belocal, its affiliates, the Franchised Business, and any publications furnished by Belocal. This broad definition extends to various forms of information, whether oral, visual, or written.
For a prospective Belocal franchisee, this means that trademarks, trade names, service marks, emblems, and indicia of origin used by Belocal in connection with the operation of the Franchised Business are considered confidential. This also includes trade secrets or know-how, research, plans, products, services, customer lists, supplier information, advertisers, business plans, marketing data and materials, software, electronic code, forms, processes, methods of operation, strategic information, financial information, manuals, and other business information disclosed to the franchisee.

This obligation extends to preventing unauthorized use or disclosure of this information to third parties. Franchisees must understand that the unauthorized use or disclosure of Belocal's confidential information, including its trademarks, could have legal and financial repercussions, as outlined in the franchise agreement.
Belocal franchisees should be aware of the scope of 'Confidential Information' and take necessary precautions to safeguard it. This includes implementing appropriate security measures, training staff on confidentiality obligations, and adhering to Belocal's policies and procedures regarding the use and protection of its trademarks and other confidential business information. This is a fairly standard clause in franchise agreements across industries, intended to protect the franchisor's brand and proprietary assets.
