What This Means (2025 FDD)

According to Belocal's 2025 Franchise Disclosure Document, content created by a franchisee, their staff, or principals in connection with the franchised business is considered work made for hire for Belocal. This includes all intellectual property rights associated with the content.

In practice, this means that Belocal retains sole and exclusive ownership of all content created for the Belocal franchise. The franchisee essentially relinquishes any claim to the content they produce for the business. This transfer of ownership extends to the franchisee's staff and principals as well.

The FDD specifies that Belocal is considered the sole and exclusive author of the content for all purposes. To the extent that any content might not legally qualify as a work made for hire, the franchisee agrees to irrevocably assign and transfer all rights to Belocal in perpetuity. The franchisee also waives any rights of restraint or moral rights related to the content.

This clause is significant because it gives Belocal broad control over all materials produced within the franchise system. A prospective franchisee should carefully consider this provision and its implications for their creative input and ownership rights before investing in a Belocal franchise.
