ATTACHMENT G LISTING ASSIGNMENT
This Assignment Agreement ("Assignment") is made, and entered into, between N2 FRANCHISING, INC. ("Franchisor") and the undersigned Franchisee ("Franchisee").
- A. Franchisor and Franchisee have entered into a Franchise Agreement dated __________________ ("Franchise Agreement"), pursuant to which Franchisee was granted the right to operate a BELOCAL franchised business ("Franchised Business"); and
- B. It is the desire of and in the best interests of Franchisor and the system for operations that Franchisor has developed that, in the event the Franchise Agreement terminates or expires, the telephone numbers, telephone directory listings, email addresses, and Online Presences used by Franchisee in connection with the operation of the Franchised Business shall be assigned to Franchisor.
NOW THEREFORE, in consideration of the foregoing and Franchisor agreeing to enter into the Franchise Agreement, Franchisor and Franchisee agree as follows:

- Franchisee hereby agrees to assign to Franchisor: (i) those certain telephone numbers and regular, classified, or other telephone directory listings used by Franchisee in connection with operating the Franchised Business, including personal cellphone numbers; (ii) all email addresses that use the Marks or that are used by Franchisee in connection with the operation of the Franchised Business; (iii) any Online Presence (as that term is defined in the Franchise Agreement) which uses the Marks, which Franchisee uses in connection with the operation of the Franchised Business, or which Franchisee has been permitted by Franchisor to create; and (iv) all rights, title, and interest in the content of any Online Presence, whether now-existing or adopted by Franchisee in the future (collectively the "Listings").

What This Means (2025 FDD)
According to Belocal's 2025 Franchise Disclosure Document, Attachment G to the Franchise Agreement is the Listing Assignment. This agreement, made between N2 Franchising, Inc. (the Franchisor) and the Franchisee, ensures that upon termination or expiration of the Franchise Agreement, certain assets related to the Belocal franchised business are assigned to the Franchisor. These assets include telephone numbers, directory listings, email addresses, and online presences used by the Franchisee.
The Listing Assignment agreement specifies that the Franchisee agrees to assign to the Franchisor: (i) telephone numbers and directory listings, including personal cellphone numbers, used for the Franchised Business; (ii) email addresses that use Belocal's marks or are used in connection with the business; (iii) any Online Presence that uses Belocal's marks or that the Franchisee uses for the business, or that the Franchisee was permitted to create; and (iv) all rights, title, and interest in the content of any Online Presence, whether existing or created in the future.
This assignment is in consideration of the Franchisor entering into the Franchise Agreement and is deemed to be in the best interests of the franchise system. By assigning these listings and online assets, Belocal aims to maintain consistency and control over its brand identity and customer reach, even after a franchise agreement ends. This is a fairly standard practice in franchising, as it protects the brand's presence and goodwill. A prospective franchisee should understand that upon leaving the Belocal system, they will need to establish new contact information and online presence, as these will revert to the franchisor.
