What This Means (2025 FDD)
According to Belocal's 2025 Franchise Disclosure Document, personnel who have access to confidential information but are not designated as Principals must sign the Confidentiality Agreement and Ancillary Covenants Not to Solicit agreement. This agreement is attached to the Franchise Agreement as Attachment D-2.
Belocal retains the right to modify or eliminate these covenants for any person required to sign the Principals' Undertaking, the Confidentiality Agreement, the Ancillary Covenants Not to Compete, or the Ancillary Covenants Not to Solicit agreements. This discretion allows Belocal to tailor the restrictions based on the specific role and access level of the personnel involved.
This requirement ensures that confidential information is protected, and that individuals with access to sensitive data are legally bound to maintain its confidentiality and refrain from soliciting Belocal's clients or advertisers. Prospective franchisees should review Attachment D-2 to fully understand the scope and terms of these agreements and discuss any concerns with Belocal before signing the Franchise Agreement.
