Under what condition will a Beggars Pizza franchisee have access to the results of SpeedLine's Professional Services beyond the term of the service?
Beggars_Pizza Franchise · 2025 FDDAnswer from 2025 FDD Document
Customer may retain SpeedLine to perform professional services ("Professional Services") as the parties may agree upon in writing in the form of a statement of work or other writing ("Statement of Work") signed by both parties. SpeedLine will use reasonable efforts to carry out the Professional Services stated in the Statement of Work. Unless otherwise agreed in writing, Professional Services and the results thereof are made available "AS IS." Unless otherwise agreed in writing, Professional Services are provided by SpeedLine on a time and materials basis at SpeedLine's then applicable rates and subject to such deposit or advance payment as SpeedLine may require. Invoices for Professional Services are due upon receipt of SpeedLine's invoice or as indicated on the invoice. Maintenance and support of code or functionality created by means of Professional Services will likewise be on a Statement of Work basis unless otherwise agreed in writing. The code and functionality made or provided under any such Statement of Work and all interests therein, including copyrights, shall be SpeedLine's property. Access to the results of Professional Services will be available as part of the Service during the Term unless otherwise agreed in writing.

What This Means (2025 FDD)
According to Beggars Pizza's 2025 Franchise Disclosure Document, access to the results of SpeedLine's Professional Services is generally available during the term of the service agreement. However, a Beggars Pizza franchisee can gain access beyond the term if it is explicitly agreed upon in writing. This implies that the standard agreement only provides access during the active service period.
Professional Services are rendered by SpeedLine based on a statement of work agreed upon by both parties. These services are offered on an "AS IS" basis unless otherwise specified in writing. Typically, SpeedLine provides these services on a time and materials basis, with invoices due upon receipt. The code and functionality developed under the statement of work, including copyrights, remain the property of SpeedLine.
For a prospective Beggars Pizza franchisee, this means that any custom solutions or modifications developed by SpeedLine for their specific needs will only be accessible during the term of their agreement, unless they negotiate and secure a written agreement for extended access. This could have implications for long-term use of custom features or data analysis derived from these services. It would be prudent for a franchisee to discuss long-term access and ownership of any custom-developed code or functionality with SpeedLine and Beggars Pizza before entering into any agreement.
