erence to the Confidential Information of the other party, as demonstrated by recipient's written records. Notwithstanding the foregoing, this Section 9 shall not prohibit the disclosure of Confidential Information, (i) to the extent that such disclosure is permitted or required by law, regulation, order of a court or other governmental authority, or securities exchange requirement, or (ii) in connection with a claim between the parties under this Agreement.
10. Fees; Payment

a. Customer shall pay fees as set forth in the Quote, as otherwise provided in this Agreement, or as otherwise agreed in writing. Subscription Fees begin to accrue on the date the Service is first made available for use by Users to place orders for Customer's food or as otherwise agreed upon by the parties in writing including in the Quote ("Billing Start Date"). Pricing changes for Subscription Fees and other charges may occur as stated in Section 11.
b. The billing interval is indicated in the Quote. The Subscription Fees will be invoiced for each billing interval up to ten (10) days before the first day of that billing interval, in advance for that entire interval (except as otherwise agreed in writing for certain items), and are due upon receipt by Customer of SpeedLine's invoice (unless otherwise agreed to). If the Billing Start Date is the first day of a calendar month, then the regular, full billing intervals will start on that date. If not, then the regular, full billing intervals will start on the first day of the first full calendar month after the Billing Start Date and the Subscription Fees for the partial month starting on such Billing Start Date will be prorated and invoiced on or before the Billing Start Date.
c. Customer's account will be considered delinquent (in arrears) if payment in full is not received by the due date.

What This Means (2025 FDD)
According to Beggars Pizza's 2025 Franchise Disclosure Document, the timing of subscription fee payments is determined by the agreement between the franchisee (referred to as "Customer" in this context) and SpeedLine, the service provider. Subscription Fees for Beggars Pizza begin accruing when the service is first available for users to place orders, or as otherwise agreed in writing, including in the Quote.
The billing interval for these fees is specified in the Quote. SpeedLine will invoice the Beggars Pizza franchisee for each billing interval up to ten days before the first day of that interval, with payment due upon receipt of the invoice, unless otherwise agreed. If the Billing Start Date aligns with the first day of a calendar month, the regular billing intervals will commence on that date. If not, the billing intervals will begin on the first day of the subsequent full calendar month, with Subscription Fees for the partial month prorated and invoiced on or before the Billing Start Date.
If a Beggars Pizza franchisee's account becomes delinquent due to non-payment by the due date, interest will accrue on the outstanding amount at a rate of 1.5% per month, equivalent to 18% per annum, or the maximum legal rate, whichever is less. The fees and charges are exclusive of all applicable taxes, which the franchisee is responsible for paying. The currency of payments will be in United States currency unless otherwise specified in the Quote.
