What steps will the Trademark Owner take to protect the Proprietary Marks for Beggars Pizza?

According to the 2025 Beggars Pizza Franchise Disclosure Document, APG Enterprises, Inc., as the Trademark Owner, has taken and will take all steps reasonably necessary to preserve and protect the ownership and validity of the Proprietary Marks. This indicates that Beggars Pizza recognizes the importance of protecting its brand identity and associated trademarks.

Beggars Pizza franchisees also have responsibilities regarding the Proprietary Marks. Franchisees must use only the designated Proprietary Marks in the manner authorized by Beggars Pizza, solely for the operation and advertising of their Restaurant at the Approved Location. Franchisees must operate and advertise the Restaurant only under the name "Beggars Pizza®" without any unauthorized prefixes or suffixes and cannot use the Proprietary Marks as part of their corporate or legal name. Franchisees are also required to identify themselves as the owner of the Restaurant in conjunction with any use of the Proprietary Marks, as specified by Beggars Pizza, on items such as invoices and contracts.

Furthermore, franchisees must notify Beggars Pizza of any suspected unauthorized use or challenges to the validity or ownership of the Proprietary Marks. Franchisees are also required to execute any documents deemed necessary by Beggars Pizza to protect the Proprietary Marks. Beggars Pizza has the right, but not the obligation, to take action against uses by others that may constitute infringement of the Proprietary Marks. These stipulations ensure that franchisees actively participate in safeguarding the brand's trademarks.

Beggars Pizza will defend franchisees against third-party claims arising from the franchisee's use of the Proprietary Marks, provided the franchisee has used the marks in accordance with the franchise agreement. If litigation arises, franchisees must cooperate with Beggars Pizza in the defense or prosecution of such claims, including becoming a nominal party to legal actions. This demonstrates Beggars Pizza's commitment to supporting its franchisees in trademark-related legal matters, provided the franchisee adheres to the agreement's terms. Franchisees are also prohibited from registering any internet domain names or URLs that contain the Proprietary Marks or anything that could be confused with the Proprietary Marks.
