SPEEDLINE SOLUTIONS INC. SPEEDDINE ONLINE ORDERING SYSTEM SUBSCRIPTION AGREEMENT
THIS SPEEDLINE SOLUTIONS INC. SPEEDDINE ONLINE ORDERING SYSTEM SUBSCRIPTION AGREEMENT is made between SpeedLine Solutions Inc. ("SpeedLine") and the person, firm, corporation or other entity described below ("Customer"). Defmitions set forth in Section 16 will apply.
1. Customer Use of the Subscription Service
Conditioned on Customer's payment of the fees due under this Agreement and Customer's compliance with this Agreement's terms and conditions, SpeedLine grants Customer a limited, non-exclusive, non-transferable subscription license to access and use the Service for the Initial Term and any Renewal Terms(s) (as defined below).
2. SpeedLine Support
Support and updates for the Service will be provided by SpeedLine to the Customer as Standard Support or Second Level Support (as stipulated in the Quote) in accordance with SpeedLine's then current standard form of Support Services Agreement.
3. Access to Service: Customer Responsibilities
- a. Customer is responsible for providing and maintaining a website for its business on which a link to the Service will be placed that Users will click to go to the Service and place online orders for Customer's food. Customer is responsible for all equipment, telecommunications, and services necessary to make (and maintain) its website.
- b. SpeedLine will post the App for download by Users at app store provider websites specified in the Quote, subject to the terms and conditions of this Agreement and any rules or policies applied by the app store provider(s).
- c. Customer understands that electronic communication is necessary for Customer's use of the Service. Customer consents to SpeedLine's receipt and storage of electronic communications, User Data and Customer Content. Customer acknowledges that Customer's electronic communications will involve transmission over the Internet and over various other networks that are not owned or operated by SpeedLine.

This license is limited, meaning it's specifically for Beggars Pizza's use and cannot be transferred to another party. The duration of this license is tied to the initial term of the agreement and any subsequent renewals. Beggars Pizza will also receive ongoing support and updates to ensure the service functions correctly and remains up-to-date. The level of support, whether Standard or Second Level, will be detailed in the Quote.
Furthermore, SpeedLine provides a software key and access code to activate the software, enabling Beggars Pizza to utilize the services. The access code's validity period depends on the type of license: unlimited, fixed prepaid, or subscription. The software may become inoperable upon the expiration or withdrawal of the access code, or if Beggars Pizza is no longer authorized to use the services under the agreement. Beggars Pizza is responsible for all equipment, telecommunications, and services necessary to access the Online Services.
It is important for prospective Beggars Pizza franchisees to carefully review the Quote and Support Services Agreement to understand the specific level of support they will receive and the terms of the software license. Franchisees should also be aware of their responsibilities for maintaining the necessary infrastructure to access and utilize SpeedLine's services. Franchisees should also note that all overdue payments by the Customer shall bear interest at the rate of eighteen percent (18%) per annum or the maximum rate of interest permitted by law, whichever is lower, from the due date until paid in full.
