What This Means (2025 FDD)
According to the 2025 Beggars Pizza FDD, upon termination or expiration of the agreement with SpeedLine, a software service provider, the customer (presumably the franchisee) loses the right to continue using the service. However, certain provisions of the agreement will survive termination. These include all definitions, the customer's accrued financial obligations, and the license to customer content and user data to the extent reasonable for SpeedLine to discharge its post-termination obligations. Additionally, specific sections and paragraphs of the agreement, namely Sections 4, 9, 11.d, 13, 14, 16, and 17, will also survive termination.
This means that even after the agreement ends, the franchisee may still be responsible for any outstanding payments owed to SpeedLine. SpeedLine retains the right to use customer content and user data as necessary to fulfill any remaining obligations after termination. Furthermore, the sections explicitly listed (4, 9, 11.d, 13, 14, 16, and 17) will continue to be in effect, potentially covering aspects such as intellectual property, limitations of liability, or dispute resolution.
It is important for a prospective Beggars Pizza franchisee to carefully review these sections to understand their ongoing rights and responsibilities even after the agreement with SpeedLine is terminated. Understanding which obligations continue after termination can help a franchisee avoid potential legal or financial issues.
