S AND SERVICES**
All products sold or offered for sale at the Restaurant and other materials, supplies, paper goods, fixtures, furnishings, and equipment used or sold at the Restaurant must meet our standards and specifications as established in the Manuals or otherwise in writing. You must purchase all food items, ingredients, supplies, materials, other products, and equipment used or offered for sale at the Restaurant for which we have established standards or specifications solely from suppliers (including manufacturers, distributors, and other sources) that demonstrate the ability to meet our
standards and specifications, who possess adequate quality controls and capacity to supply your needs promptly and reliably, and who have been approved by us. If you desire to purchase products from a party other than an approved supplier, you must submit a written request to us to approve the proposed supplier with evidence of conformity with our specifications as we may require. You must pay the costs of our evaluation and testing of the proposed supplier. We will use our best efforts to notify you of our approval or disapproval of the proposed supplier within 30 days after our receipt of your request. Our approval will not be unreasonably withheld. If you do not receive our decision within this 30-day period, the supplier will be deemed unapproved. You may not sell or offer for sale any products of the proposed supplier until you receive our written approval of the supplier. We may revoke our approval of particular products or suppliers at any time we determine that such products or suppliers no longer meet our standards in our sole discretion.
You must purchase all spaghetti sauces, pizza sauce spices, cheeses, sausages, pizza dough, spice blends, and paper products used at the Restaurant from us, an affiliate, or a supplier we designate or approve. We have developed certain proprietary, confidential, and trade secret recipes that are part of the System including pizza dough, spaghetti and pizza sauces, sausage, and secret spice blends. We may develop additional trade secret food ingredients. We sell these products through Begcom or other designated suppliers. In addition, Begcom is the designated supplier of certain additional food items and supplies, some of which bear the Proprietary Marks, and we may specify certain other parties as designated suppliers for specified products, materials, supplies, paper goods, fixtures, furnishings, and equipment used or sold at the Restaurant. You must purchase such items from Begcom or the other designated suppliers to assure the uniform quality and image associated with the System and the Restaurant. You must only use revolving baking ovens we designate or approve in the Restaurant.
We are not required to make our standards and specifications for formulas available to prospective suppliers, including the recipes or ingredients for proprietary or trade secret products that we, in our sole discretion, consider confidential.
You must enter into Begcom's form of commissary agreement (the "Commissary Agreement") for the purchase of products we designate for purchase from Begcom during the term of your Franchise Agreement. You must make payment to Begcom as required under the Commissary Agreement.
What This Means (2025 FDD)
According to Beggars Pizza's 2025 Franchise Disclosure Document, franchisees face significant restrictions on where they can source products and services. A Beggars Pizza franchisee must adhere to Beggars Pizza's standards and specifications for all products sold at the restaurant, including materials, supplies, paper goods, fixtures, furnishings, and equipment. These items must be purchased from suppliers approved by Beggars Pizza who can meet their quality control and supply standards. If a franchisee wants to use a non-approved supplier, they must seek written approval from Beggars Pizza, potentially incurring evaluation and testing costs. Beggars Pizza has 30 days to respond to the request, otherwise, the supplier is deemed unapproved.
Specifically, franchisees are required to purchase spaghetti sauces, pizza sauce spices, cheeses, sausages, pizza dough, spice blends, and paper products from Beggars Pizza, its affiliates, or designated/approved suppliers. Beggars Pizza has developed proprietary recipes for items like pizza dough, spaghetti and pizza sauces, sausage, and spice blends, which are part of their system. These products are sold through Begcom or other designated suppliers. Franchisees must also use revolving baking ovens that Beggars Pizza designates or approves. A franchisee must enter into Begcom's Commissary Agreement to purchase designated products from them.
Beggars Pizza can also negotiate purchase arrangements with approved or designated suppliers and may receive money or other benefits based on franchisee purchases. The FDD estimates that 95% of a franchisee's expenditures for establishing and operating the Restaurant will be subject to these sourcing restrictions. Failure to comply with these sourcing restrictions could lead to termination of the Franchise Agreement. This high percentage indicates that franchisees have limited flexibility in choosing suppliers and must rely heavily on Beggars Pizza's approved network, which could impact costs and operational logistics.
