- 7.11 Advertising Materials.
Franchisee must ensure that all advertising and promotional materials, signs, decorations, and other items specified by Franchisor bear the Proprietary Marks in the form, color, location, and manner prescribed by Franchisor.
- 7.12 Maintenance of Premises.
Franchisee must maintain the Premises (including the adjacent public areas) in a clean, orderly condition and in excellent repair; and, in connection therewith, Franchisee must, at its expense, make such additions, alterations, repairs and replacements thereto (but no others without Franchisor's prior written consent) as may be required for that purpose including, without limitation, such periodic repainting or replacement of obsolete signs, furnishings, equipment, and décor as Franchisor may reasonably direct.
Franchisor may determine acceptable and unacceptable advertising related to this Section 7.4.12, in the Manual, or otherwise in writing from time to time in its sole discretion.
Franchisor's determination will be binding.
- 7.4.13 To participate in all promotional programs developed by Franchisor for the System including, without limitation, gift card programs, gift certificate programs, loyalty programs, and coupon or discount programs (except as prohibited by applicable law), as prescribed by Franchisor in the Manual or otherwise in writing from time to time including, without limitation, selling and offering for sale gift certificates or gift cards which may be redeemed at any Beggars Pizza® restaurant for menu items or products, permitting customers who purchased gift certificates or gift cards from another Beggars Pizza® restaurant or Franchisor to redeem their gift certificates for menu items or products at the Restaurant, participating in Franchisor's customer complaint program which may require Franchisee to offer free gift certificates at Franchisee's expense to customers complaining about service at the Restaurant, and installing and using the required equipment or information systems necessary to allow customers to participate in System loyalty programs at Franchisee's expense.
However, if Franchisor approves a separate Website for Franchisee (which Franchisor is not obligated to approve and which approval, if granted, may later be revoked by Franchisor), then each of the following provisions will apply:
8.8.1 Franchisee specifically acknowledges and agrees that any Website owned, established, or maintained by or for the benefit of Franchisee will be deemed "advertising" under the Agreement and will be subject to, among other things, Franchisor's prior review and approval;
8.8.2 Before establishing any Website, Franchisee must submit to Franchisor, for Franchisor's prior written approval, a sample of the proposed Website domain name, format, visible content (including, without limitation, proposed screen shots), and non-visible content (including, without limitation, metatags) in the form and manner Franchisor may reasonably require;
8.8.3 If approved, Franchisee will not materially modify such Website without Franchisor's prior written approval as to such proposed modification;
8.8.4 Franchisee must comply with the standards and specifications for Websites that Franchisor may periodically prescribe in the Manual or otherwise in writing;
8.8.5 If required by Franchisor, Franchisee must establish such hyperlinks to Franchisor's Website and other Websites as Franchisor may request in writing;

This gives Beggars Pizza significant control over what advertising is permissible. Franchisees are also required to participate in all promotional programs developed by Beggars Pizza for the System, including gift card, loyalty, and coupon programs, as prescribed in the Manual or in writing.
Furthermore, if a franchisee wants to establish a separate website, it is subject to Beggars Pizza's prior review and approval, including the domain name, format, visible content, and non-visible content. Franchisees must also comply with the standards and specifications for websites that Beggars Pizza may periodically prescribe in the Manual or otherwise in writing. Beggars Pizza may also require franchisees to establish hyperlinks to Beggars Pizza's website and other websites as requested in writing. These stipulations ensure that all online advertising aligns with Beggars Pizza's brand standards and marketing strategies.
