You will operate a Beggars Pizza® Restaurant (the "Restaurant") according to the terms of our franchise agreement in the form attached as Exhibit C to this disclosure document (the "Franchise Agreement") according to our standards as described below. The Beggars Pizza® system (the "System") is identified by certain trade names, service marks, trademarks, trade dress, logos, emblems, and indicia of origin including the mark "Beggars Pizza®" and the mark "Beggars Pizza (plus logo)" (collectively, the "Proprietary Marks"). We may add, eliminate, modify, or substitute any of the Proprietary Marks at any time in our sole discretion. The System includes our methods, techniques, standards, specifications, policies, and procedures relating to the operation of Beggars Pizza® Restaurants as described in our confidential operational manual and other written directives (collectively, the "Manuals"). The System also includes our distinctive decor, color schemes, special recipes and menu items, and our advertising and promotional programs, all of which we may change, improve, and further develop. We have also developed

certain trade secret food ingredients for use in the System including pizza dough, spaghetti and pizza sauces, sausage, and trade secret spice blends, all of which are sold through Begcom.
