10. Fees; Payment

  • a. Customer shall pay fees as set forth in the Quote, as otherwise provided in this Agreement, or as otherwise agreed in writing. Subscription Fees begin to accrue on the date the Service is first made available for use by Users to place orders for Customer's food or as otherwise agreed upon by the parties in writing including in the Quote ("Billing Start Date"). Pricing changes for Subscription Fees and other charges may occur as stated in Section 11.

  • b. The billing interval is indicated in the Quote. The Subscription Fees will be invoiced for each billing interval up to ten (10) days before the first day of that billing interval, in advance for that entire interval (except as otherwise agreed in writing for certain items), and are due upon receipt by Customer of SpeedLine's invoice (unless otherwise agreed to). If the Billing Start Date is the first day of a calendar month, then the regular, full billing intervals will start on that date. If not, then the regular, full billing intervals will start on the first day of the first full calendar month after the Billing Start Date and the Subscription Fees for the partial month starting on such Billing Start Date will be prorated and invoiced on or before the Billing Start Date.

  • c. Customer's account will be considered delinquent (in arrears) if payment in full is not received by the due date. SpeedLine fees and charges are exclusive of all applicable value added taxes, withholding, and other taxes, levies, or duties, and Customer will be responsible for payment of all such amounts. If the currency of payments has not been specified in the Quote, then Customer agrees that the currency of all payments under this Agreement will be United States currency.

What This Means (2025 FDD)

According to the 2025 Beggars Pizza Franchise Disclosure Document, the billing interval for subscription fees is indicated in the Quote. Beggars Pizza franchisees will be invoiced for each billing interval up to ten days before the first day of that billing interval, in advance for that entire interval. These invoices are due upon receipt, unless otherwise agreed to in writing.

If the Billing Start Date is the first day of a calendar month, then the regular, full billing intervals will start on that date. If not, then the regular, full billing intervals will start on the first day of the first full calendar month after the Billing Start Date and the Subscription Fees for the partial month starting on such Billing Start Date will be prorated and invoiced on or before the Billing Start Date.

For the Subscription License Term, Beggars Pizza franchisees may also receive a license for certain Installed Software products, and the Installed Software copy provided, and for Online Services, by paying one or more monthly recurring subscription fee(s) as invoiced by SpeedLine to the Customer on a monthly basis and adjusted by SpeedLine from time to time effective after the end of the initial term and as of the beginning of any renewal term. Subscription fees payments, plus applicable taxes, will be invoiced on the 25th (or the closest preceding business day) of each month (including for any partial periods in the month), except for the first month when they will be invoiced with the Quote.
