What This Means (2025 FDD)
According to the 2025 FDD, Beggars Pizza franchisees are bound by the SpeedLine Solutions Inc. Software License Agreement, which protects SpeedLine's intellectual property rights in its software. SpeedLine retains exclusive ownership of all rights, titles, and interests, including copyrights and intellectual property rights, to the software, documentation, and any copies. The franchisee only acquires the right to use the software for the agreement's term and does not gain any ownership rights. The software is licensed, not sold.
Beggars Pizza franchisees can make one copy of the installed software for backup purposes, but any other copies require prior written consent from SpeedLine. Franchisees cannot copy the documentation accompanying the software. They are permitted to use the software only for its intended purpose as a retail point-of-sale solution, as allowed by the agreement.
Specifically, franchisees are prohibited from reverse engineering, decompiling, disassembling, decrypting, modifying, adapting, or translating the software. They also cannot merge the software into other computer programs or rewrite it into a different language. Using the software to test or improve competing software without SpeedLine's approval is a violation of the agreement. Franchisees cannot sell, rent, lease, license, transfer, lend, or give away the software, nor can they "frame" or "mirror" the online services. By agreeing to the terms, the franchisee acknowledges that they have read and understood the agreement and will comply with its conditions.
