ITEM 12 TERRITORY
If you do not already have a location when you sign your Franchise Agreement, you must purchase or lease a site for the Restaurant. Although you are solely responsible for locating the site for the Restaurant, the location is subject to our written approval. Our approval will be based upon a variety of factors which may include the viability of the then-current location and demographics including the number of households, household income, and vehicular traffic. You may not relocate the Restaurant to any other location without our prior written consent. If we
approve any relocation of the Restaurant, you must de-identify the former location. If you have an approved location when you sign your Franchise Agreement, you must begin operations of the Restaurant within 180 days after you sign your Franchise Agreement. If you do not have an approved location when you sign your Franchise Agreement, you must sign our Site Selection Addendum. Under the Site Selection Addendum, you must acquire a location within 90 days after you sign your Franchise Agreement and begin operations of the Restaurant within 180 days after obtaining an approved location.
You must submit your proposed lease to us for approval. We will only approve a lease if you and the landlord have signed a conditional assignment of lease in the form attached as Exhibit G of the Franchise Agreement which provides that we may assume the lease if you default under your lease or your Franchise Agreement.
You will not receive an exclusive territory. You may face competition from other franchisees, from outlets that we own, or from other channels of distribution or competitive brands that we control. However, you will receive a territory (a "Territory") that will be described in Exhibit A of your Franchise Agreement. Your Territory will be determined by us in our sole discretion as we consider appropriate under the circumstances and will generally be a geographic area described by attaching a map, or by reference to streets, natural boundaries, or ZIP codes. We may permit you to operate a temporary cart or kiosk at a temporary location in your Territory used for fund raising and other special events.
During the term of your Franchise Agreement, we will not open or operate, or license others to own or operate, a Beggars Pizza® Restaurant in your Territory except as provided in this Item 12.

Additionally, the franchisee must provide delivery service of all approved menu items to customers within their territory, following Beggars Pizza's delivery standards as outlined in the manuals. While delivery rights are not exclusive, and other Beggars Pizza restaurants may also deliver within the franchisee's territory, the franchisee may accept orders and provide delivery service outside their territory unless restricted by the Franchise Agreement. However, the franchisee is restricted from distributing hard copy print advertising outside of their territory. These obligations ensure that Beggars Pizza maintains brand consistency and operational standards across all franchise locations.
