2. TERM AND RENEWAL

  • 2.1 Term. The Agreement will be in effect upon its acceptance and execution by Franchisor and, except as otherwise provided herein, the term of the Agreement will be ten (10) years from the date first above written.
  • 2.2 Renewal. Franchisee may, subject to the following conditions, renew the rights granted under the Agreement for one (1) additional consecutive term of ten (10) years. Franchisor in its sole discretion, may require that any of the following conditions be met prior to such renewal:
  • 2.2.1 Franchisee must give Franchisor written notice of Franchisee's election to renew not less than six (6) months nor more than twelve (12) months prior to the end of the thencurrent term;
  • 2.2.2 Franchisee must make or provide for, in a manner satisfactory to Franchisor, such renovation and modernization of the premises of the Restaurant (the "Premises") as Franchisor may reasonably require including, without limitation, installation of new equipment and renovation of signs, furnishings, fixtures, and décor to reflect the then-current standards and image of the System;
  • 2.2.3 Franchisee and all of its affiliates must not be in default of any provision of the Agreement, any amendment hereof or successor hereto, or any other agreement between Franchisee and Franchisor or its affiliates.
