What This Means (2025 FDD)

According to Beggars Pizza's 2025 Franchise Disclosure Document, Confidential Information encompasses various elements of their system. This includes trade secrets, recipes, supplier information, operational standards, advertising, marketing and brand strategy information, and any other information relating to the establishment and operation of a Beggars Pizza Restaurant that they designate as "Confidential Information" in the Franchise Agreement.

For a prospective franchisee, this means that they will have access to sensitive information critical to running a Beggars Pizza franchise. However, they will also be legally obligated to protect this information and prevent unauthorized disclosure or use. This obligation extends both during the term of the Franchise Agreement and even after its termination.

The FDD also clarifies that the list of confidential matters is illustrative and not exhaustive, meaning Beggars Pizza may designate other information as confidential as well. Franchisees should be aware that disclosing Confidential Information to federal or state governmental authorities is permitted to report potential violations of applicable law or assist in governmental investigative, enforcement, or oversight efforts. This exception provides a safeguard for franchisees who need to report legal or regulatory issues without fear of violating the confidentiality agreement.

Beggars Pizza emphasizes the importance of protecting its Confidential Information to maintain its competitive advantage and the integrity of its brand. Franchisees must ensure that their employees also understand and adhere to these confidentiality obligations, as employees are required to sign a Confidentiality and Non-Competition Agreement.
