What This Means (2025 FDD)

According to Beggars Pizza's 2025 Franchise Disclosure Document, franchisees are explicitly prohibited from copying the Documentation accompanying the SpeedLine software. SpeedLine retains exclusive ownership of all rights, title, and interests, including copyrights and all other intellectual property rights, in and to the Software, the Documentation, and any copies of the Software or Documentation. The customer, in this case the Beggars Pizza franchisee, only acquires the right to use the Software for the term of the agreement and does not acquire any ownership rights.

This restriction means that a Beggars Pizza franchisee cannot reproduce the SpeedLine software documentation for any reason without prior written consent from SpeedLine. Unauthorized copying could lead to a breach of the franchise agreement and potential legal action from SpeedLine. The franchisee is only permitted to make one copy of the installed software for backup purposes, but this exception does not extend to the Documentation.

This is a fairly standard clause in franchise agreements that involve proprietary software. Franchisors need to protect their intellectual property to maintain a competitive advantage and ensure consistent brand standards across all franchise locations. Beggars Pizza franchisees should ensure they fully understand the terms of the SpeedLine Software License Agreement to avoid any unintentional violations.

In practical terms, a Beggars Pizza franchisee must rely on the original Documentation provided and any updates or support offered by SpeedLine. If additional copies are needed, the franchisee must seek written permission from SpeedLine, which may or may not be granted. This limitation underscores the importance of carefully managing and protecting the original Documentation to ensure it remains accessible and usable.
