y deposit as set forth in the Quote (where applicable), and (where applicable) signed equipment leasing documentation including the leasing company's approval of financing to the Customer and the leasing company's purchase order to SpeedLine for the equipment is required by SpeedLine prior to acceptance and processing of the Customer's order and prior to SpeedLine confirming the implementation and training dates.

- (b) All amounts owing by the Customer to SpeedLine hereunder (except for deposits already paid) from time to time shall be paid to SpeedLine or as directed by SpeedLine in the amount(s) and at the time(s) and on the terms and conditions set forth herein and in the Quote, including but not limited to the balance as set forth in the Quote.
- (c) All amounts owing by the Customer to SpeedLine hereunder which are not known at the time of signing the Agreement, including, but without limitation, costs of shipping and handling, and insurance during shipment and delivery of the equipment and on-premises implemented software, shall be invoiced by SpeedLine to the Customer, and shall be paid by the Customer to SpeedLine or as directed by SpeedLine in full by the due date indicated on the invoice, which will be issued based upon SpeedLine's then-current standard invoicing terms.
6. IMPLEMENTATION AND TRAINING: SpeedLine
agrees to provide implementation and training in respect of the equipment and software as described in the Quote and the Customer agrees to pay the amounts set forth in the Quote for such implementation and training as well as SpeedLine's expenses reasonably and actually incurred in performing such implementation and training, which include, but without limitation, travel time for SpeedLine's personnel and SpeedLine's out-of-pocket expenses for travel, food and lodging of SpeedLine's personnel, on the terms and conditions set forth herein and in the Quote. The implementation date and the training dates and schedule will be notified to the Customer, and where applicable, upon SpeedLine receiving the required deposits and/or the required equipment leasing company documentation.
7. SPECIAL SERVICES AND CROSS BORDER SERVICES: The software products are manufactured in Canada.

The franchisee is required to pay all amounts owed to SpeedLine, or as directed by SpeedLine, according to the amounts, times, terms, and conditions outlined in the agreement and any associated quotes. This includes the balance specified in the quote.
Franchisees are also responsible for paying amounts not known at the time of signing the agreement, such as shipping, handling, and insurance costs for equipment and software. SpeedLine will invoice these amounts, and the franchisee must pay them in full by the due date indicated on the invoice, following SpeedLine's standard invoicing terms. If a payment currency isn't specified in the quote, all payments must be made in United States currency. Additionally, franchisees are responsible for all applicable taxes, duties, and governmental charges related to the sale, licensing, implementation, and use of the equipment and software, based on SpeedLine's supply facility location and the location where the equipment and software are used.
If the franchisee fails to make payments on time, overdue amounts will accrue interest at a rate of 18% per annum, or the maximum rate permitted by law, whichever is lower, calculated from the due date until the payment is made in full. It's also important to note that all SpeedLine quotes accepted by the franchisee and all invoices issued by SpeedLine are incorporated into the agreement and form a part of it. Any conflicting terms on the franchisee's purchase orders or commercial documents are superseded by the terms of the SpeedLine agreement.
