be deemed to be "Software" for a subscription license term (of 12 months) under and as defined in the Software License Agreement. To the extent there is any conflict or inconsistency between the Software License Agreement and the terms and conditions set out below, the terms and conditions set out below will prevail, provided that the Software License Agreement and the terms and conditions set out below will be read together so as to be given full legal effect.
SpeedLine grants to Customer a limited, non-exclusive, non-transferable license to download and use the SpeedLine Pay App on Devices (as defined below), subject to the terms and conditions of the Software License Agreement, as modified and supplemented hereby, and any rules or policies applied by the app store provider(s) from which the SpeedLine Pay App is downloaded. SpeedLine will post the SpeedLine Pay App at the app store provider(s) specified in the Quote. Notwithstanding any term of the Software License Agreement: (i) Customer may authorize Customer's employees or contractors ("End Users") to

download a copy of the SpeedLine Pay App onto Customer's or End Users' mobile telephone or handheld devices ("Devices"); and (ii) Customer may copy or authorize copying of the SpeedLine Pay App where such copying is incidental to normal use of the SpeedLine Pay App, or where necessary for backup purposes. Customer agrees to keep accurate and up-to-date records of the number and End Users of all copies of the SpeedLine Pay App. Customer will be assumed to have obtained any necessary permission from the owners of any Devices that are not owned by Customer to download a copy of the SpeedLine Pay App onto the Devices. Upon any End User no longer requiring the SpeedLine Pay App as part of the End User's duties for Customer or any End User ceasing to be employed by Customer, Customer agrees to ensure that the SpeedLine Pay App is immediately deleted or removed from the End User's Device. As between SpeedLine and Customer, Customer accepts responsibility for use of the SpeedLine Pay App in relation to any Device, whether or not the Device is owned by Customer.

What This Means (2025 FDD)
According to Beggars Pizza's 2025 Franchise Disclosure Document, franchisees (referred to as "Customer" in the agreement with SpeedLine) can authorize their employees or contractors ("End Users") to download the SpeedLine Pay App onto their mobile devices. This authorization is subject to the terms and conditions of the Software License Agreement, as modified and supplemented by the specific terms for the SpeedLine Pay App. The app can be downloaded onto the Customer's or the End Users' mobile devices.
Beggars Pizza franchisees must keep accurate records of the number and End Users of all copies of the SpeedLine Pay App. If an End User no longer needs the app for their duties or ceases employment, the franchisee must ensure the app is immediately deleted from the End User's device. The franchisee accepts responsibility for the use of the SpeedLine Pay App on any device, regardless of ownership.
The franchisee and/or their End Users are responsible for providing the necessary devices, meeting the operating system requirements, obtaining Internet access, and paying all telecommunications charges for using the SpeedLine Pay App. They must also comply with all technology control or export laws and regulations related to the app's technology. This means franchisees need to ensure their employees have the appropriate devices and internet access to utilize the app effectively and legally.
