What This Means (2025 FDD)
According to Beggars Pizza's 2025 Franchise Disclosure Document, franchisees are obligated to protect the confidentiality of the System's operational methods, including the manual, recipes, ingredients, cooking procedures, customer lists, drawings, materials, and equipment. This information is considered "Confidential Information." Franchisees are explicitly prohibited from sharing this information with any other person, partnership, association, limited liability company, or corporation for their benefit during and after the franchise agreement term.
However, the FDD specifies a limited exception to this strict confidentiality. Beggars Pizza franchisees are permitted to share Confidential Information with their own employees, but only those who require access to it in order to properly operate the restaurant. This ensures that essential staff members are adequately trained and informed while maintaining overall control over the dissemination of sensitive business data.
Furthermore, the 2025 Beggars Pizza FDD states that franchisees are not prohibited from disclosing confidential information directly to a federal or state regulatory agency, law enforcement authority, or legislative body to the extent necessary to report potential violations of applicable law. This provision allows franchisees to comply with legal and ethical obligations without violating the franchise agreement's confidentiality clause. This is a standard clause in franchise agreements to ensure compliance with whistle blower laws and other regulations.
