SPEEDLINE SOLUTIONS INC. SYSTEM PURCHASE AGREEMENT

THIS SPEEDLINE SOLUTIONS INC. SYSTEM PURCHASE AGREEMENT ("Agreement") is made between SpeedLine Solutions Inc. ("SpeedLine") and the person, firm, corporation or other entity described below ("Customer" or "you").

    1. ACQUISITION OF SYSTEM: SpeedLine will provide to the Customer and the Customer will purchase, receive or acquire from SpeedLine the equipment, the license for the on-premises implemented software and software made available via online services (collectively, the "software"), the support services and any related services described in the SpeedLine quote attached as Schedule "A" or entered into by the parties from time to time (each, a "Quote"), on the terms and conditions set forth herein and in the Quote.

What This Means (2025 FDD)

According to Beggars Pizza's 2025 Franchise Disclosure Document, a franchisee receives a software license from SpeedLine by purchasing it. SpeedLine will provide the software license described in the Quote, and the customer agrees to pay the amount in the Quote for the license. The software includes on-premises implemented software and software available through online services. The form of license will be in SpeedLine's current standard Software License Agreement, except for the SpeedDine online ordering service, which uses SpeedLine's standard SpeedDine Online Ordering System Subscription Agreement.

The franchisee can receive the license for installed software products for an unlimited term by fully paying for the license. This includes an initial deposit and full payment of the balance due, as invoiced by SpeedLine, on or before the software implementation. Alternatively, the franchisee may receive the license for a fixed prepaid term by fully paying for the license for the prepaid term with an initial deposit and full payment of the balance due, as invoiced by SpeedLine, on or before implementation. The fixed prepaid license term can be extended or renewed on the same terms and conditions by fully paying for the license for the extended or renewed term, as invoiced by SpeedLine, on or before the expiry date of the current term.

Another option is a subscription license term, where the franchisee pays monthly recurring subscription fees as invoiced by SpeedLine. These fees may be adjusted by SpeedLine after the initial term and at the beginning of any renewal term. Subscription fees, plus applicable taxes, are invoiced on the 25th (or the closest preceding business day) of each month, except for the first month, when they are invoiced with the Quote. If additional subscription licenses or products and services are added during the initial or any renewal term, the term of these additions will be the same as the current term, and the payment frequency must be the same for all subscription licenses, products, and services.

It is important to note that SpeedLine retains ownership of the software, and the franchisee only acquires the right to use the software for the term of the agreement. The franchisee is granted a personal, non-exclusive, non-transferable license to implement and use one copy of the installed software products at the business location, on the number of terminals equal to the number of SpeedLine Solutions Software user licenses received. No transfer of the agreement, sub-licensing, or increase to the number of terminals or change to the business location is allowed without SpeedLine's prior written consent.
