What This Means (2025 FDD)

According to the 2025 Beggars Pizza Franchise Disclosure Document, franchisees are prohibited from using Beggars Pizza's trade secrets after the termination or expiration of the Franchise Agreement. Beggars Pizza considers its confidential information, which includes trade secrets, recipes, supplier information, operational standards, advertising, marketing and brand strategy information, as protected under common law copyright and trade secret laws.

Specifically, the Franchise Agreement stipulates that franchisees must not disclose or use any of Beggars Pizza's trade secrets during or after the term of the agreement. This restriction extends to the contents of the Manuals and any other confidential information related to the Beggars Pizza system. The franchisee is obligated to ensure that no other person discloses or uses these trade secrets, except as explicitly authorized by the Franchise Agreement.

Upon termination or expiration of the Franchise Agreement, the franchisee must immediately and permanently cease using any confidential methods, procedures, and techniques associated with the Beggars Pizza system. This includes all confidential information and proprietary marks. This obligation ensures that the Beggars Pizza system and its associated trade secrets remain exclusive to the franchisor and its current franchisees, maintaining the brand's competitive advantage and uniformity.

However, the Franchise Agreement does allow for an exception: a franchisee can disclose Confidential Information directly to federal or state governmental authorities if it is necessary to report potential violations of applicable law or assist in governmental investigative, enforcement, or oversight efforts. This exception is in place to ensure compliance with legal and regulatory requirements.
