You may not disclose or use, and you must use your best efforts to ensure that no other person discloses or uses (except as authorized by your Franchise Agreement), any of the contents of the Manuals or any of our other trade secrets during or after the term of your Franchise Agreement. However, nothing in the Franchise Agreement prohibits you from disclosing Confidential Information directly to federal or state governmental authorities to the extent necessary to report potential violations of applicable law or assist in governmental investigative, enforcement, or oversight efforts.

What This Means (2025 FDD)
According to Beggars Pizza's 2025 Franchise Disclosure Document, franchisees are restricted in their use of the contents of the manuals. The FDD states that franchisees may not disclose or use the contents of the manuals, or any of Beggars Pizza's other trade secrets, during or after the term of the Franchise Agreement.
This restriction is typical in franchising, as the franchisor needs to protect its proprietary information and maintain consistency across all franchise locations. The manuals contain critical information about the Beggars Pizza system, including trade secrets, recipes, supplier information, operational standards, and advertising and marketing strategies. Unauthorized use or disclosure of this information could harm Beggars Pizza's competitive advantage and brand reputation.
However, the Franchise Agreement does allow for an exception: franchisees are permitted to disclose Confidential Information directly to federal or state governmental authorities if it is necessary to report potential violations of applicable law or assist in governmental investigative, enforcement, or oversight efforts. This exception ensures that franchisees can comply with legal obligations without violating the terms of the Franchise Agreement.
In practical terms, a prospective Beggars Pizza franchisee should understand that they will have access to the manuals and other confidential information necessary to operate the franchise, but they must maintain strict confidentiality and only use the information as authorized by the Franchise Agreement. They should also be aware of the exception that allows disclosure to governmental authorities in certain circumstances.
