If you sign a Site Selection Addendum, you must lease or acquire a location we approve within 90 days of the date of your Franchise Agreement within the site selection territory specified in the Site Selection Addendum at your expense. (Franchise Agreement, Section 1.2.) If you fail to obtain an Approved Location within 90 days after signing your Franchise Agreement or to open the Restaurant within 180 days after signing your Franchise Agreement, we may terminate your Franchise Agreement in our discretion. Under the terms of the Site Selection Addendum, you must submit your proposed site to us for approval within 60 days of signing your Franchise Agreement in the manner and form specified in the Franchise Agreement and we will notify you in writing of our approval or disapproval of your proposed site within 30 days. When we review a proposed site, we will consider such factors as zoning and approval from appropriate agencies, noise restrictions, size, layout, and proposed lease terms. We will provide site selection guidelines and consultation that we deem advisable. We will conduct two on-site evaluations as we deem necessary and appropriate at our expense. For each additional on-site evaluation (if any), you must reimburse us for our expenses including our costs of travel, lodging, and meals.
