s implemented software for shipment in accordance with standard packing and shipping practices for such items. The risk of loss or damage will pass to the Customer upon delivery of the equipment and (where applicable) on-premises implemented software to the common carrier. Title to the equipment (but not the software) will pass to the Customer on the later of delivery to the common carrier or payment of all amounts owing as described herein.

- TAXES: The customer is responsible to pay all applicable taxes, duties and other governmental tariffs, fees and other charges pertaining to the sale of the equipment and services and the granting of the software license to the Customer hereunder, based on SpeedLine's designated supply facility location, where applicable, and on the location where the equipment and software will be implemented and used and the services provided.

- CURRENCY: If the currency of payments has not been specified in the Quote, then the Customer agrees that the currency of all payments under this Agreement will be United States currency.

- PERMITS AND LICENSES: The Customer is responsible to obtain and maintain any and all required permits and licenses prior to implementation and use of the equipment and software at the Customer's location.

- OVERDUE PAYMENTS: All overdue payments by the Customer shall bear interest at the rate of eighteen percent (18%) per annum or the maximum rate of interest permitted by law, whichever is lower, from the due date until paid in full.

- QUOTES AND INVOICES FORM PART OF AGREEMENT: All SpeedLine Quotes accepted by the Customer and all invoices issued by SpeedLine to the Customer are hereby incorporated into this Agreement by this reference and form a part of this Agreement. Any preprinted terms on purchase orders or commercial documentation submitted by the Customer

- GENERAL: In the event of the invalidity or unenforceability of any portion or provision of this Agreement, the parties agree that to such extent only such portions or provisions are to be severed herefrom, and that such invalidity or unenforceability shall not affect the validity or enforceability of the remaining portions or provisions of this Agreement which shall remain in full force and effect. SpeedLine or the Customer may not change, waive, modify, or amend this Agreement, except as specifically provided in this Agreement or by written agreement signed by both parties. This Agreement may be signed by the parties in counterparts which when taken together will constitute one Agreement.
