e used only at the Customer's location as specified in the Quote, and only on the number of terminals which is equal to the number of SpeedLine Solutions software user licenses received by the Customer or, in the case of certain of the software programs, only on one (1) of the Customer's terminals, as specified in the Quote. No change of the location or increase to the number of terminals may be made without the prior written consent of SpeedLine.

- IMPLEMENTATION CRITERIA: The Customer is responsible to meet SpeedLine's implementation criteria for site preparation, facilities and specifications as set forth in the SpeedLine Solutions System Implementation Requirements provided to the Customer, prior to implementation of the equipment and software, and to maintain such criteria thereafter.

- APPROVED SUPPLIER: If the Licensor of the Customer requires that the Customer must purchase, receive or acquire equipment and software that meets the Licensor's required specifications and standards and which is acquired from an approved supplier, the Customer is responsible for ensuring that the equipment and software described in the Quote meet the required specifications and standards, and for having SpeedLine approved as a supplier of the equipment and software described in the Quote.

- by pre-authorized credit or debit card, account debit, certified cheque, cashier's check, bank draft, money order or other means approved in writing in advance by SpeedLine. If the Customer pays by credit card or debit card, the amount required to be paid by SpeedLine to the credit card or debit card issuer will be added to the amount required to be paid by the Customer to SpeedLine hereunder.

- SHIPPING, HANDLING AND INSURANCE: The Customer is responsible to pay for shipping, handling and insurance in respect of the supply of the equipment and on-premises implemented software to the Customer by SpeedLine, F.O.B. SpeedLine's designated supply facility in Abbotsford, British Columbia or Lynden, Washington, as the case may be.

The risk of loss or damage to the equipment transfers to the franchisee upon delivery to the common carrier. The franchisee is also responsible for ensuring that the equipment and software described in the Quote meet the required specifications and standards, and for having SpeedLine approved as a supplier of the equipment and software described in the Quote.
It is important to note that SpeedLine is not responsible for problems or incompatibilities caused by the franchisee's failure to meet and maintain SpeedLine's implementation criteria. Additionally, SpeedLine does not guarantee that the equipment or software will meet all of the franchisee's requirements. The equipment is supplied with the manufacturer's warranty only, and SpeedLine disclaims all other warranties. The franchisee is also responsible for providing and maintaining a website for its business on which a link to the Service will be placed that Users will click to go to the Service and place online orders for Customer's food. Customer is responsible for all equipment, telecommunications, and services necessary to make (and maintain) its website.
