What This Means (2025 FDD)

According to the 2025 FDD, Beggars Pizza asserts trade secret protection over several elements of its system. This includes confidential information encompassing trade secrets, recipes, supplier information, operational standards, advertising, marketing and brand strategy information, and other data related to the establishment and operation of a Beggars Pizza restaurant. Beggars Pizza designates this information as "Confidential Information" within the franchise agreement.

This means that as a franchisee, you are prohibited from disclosing or using any of the contents of the manuals or any of Beggars Pizza's other trade secrets during or after the term of the Franchise Agreement, unless authorized by the agreement. You must also actively prevent others from doing so. However, the franchise agreement does not prevent you from disclosing Confidential Information directly to federal or state governmental authorities to the extent necessary to report potential violations of applicable law or assist in governmental investigative, enforcement, or oversight efforts.

This protection of supplier information as a trade secret is a common practice in franchising, as it helps maintain a competitive advantage and ensures consistency within the Beggars Pizza system. Franchisees benefit from this protection because it helps maintain the brand's quality and reputation, but they must also be aware of their obligations to protect this information and the potential consequences of unauthorized disclosure.
